David Young concentrates in the representation of emerging growth companies and the venture capital firms, strategic investors and investment banks that finance these companies. In addition to providing strategic counseling, his practice encompasses venture capital financings, mergers and acquisitions, public offerings, equity compensation matters, SEC reporting and disclosure, intellectual property licensing, complex corporate partnering transactions and corporate governance. He represents both public and private companies, primarily in the digital media, technology, cleantech, life sciences and media and entertainment sectors, and also frequently represents venture capital firms and other investors in financings and underwriters in public offerings. Having practiced on a full-time basis in each of Los Angeles, San Diego, Palo Alto and Seattle during his career, Mr. Young currently splits his time between DLA Piper's Los Angeles and San Diego offices. Mr. Young is a leader in the Southern California venture and technology community and chairs DLA Piper’s Corporate and Finance group in the Los Angeles, San Diego and Phoenix offices.
Mr. Young’s venture capital financing experience includes representation of companies and investors in over 350 financings. His core practice consists of representing companies in these transactions, which have involved a wide variety of leading venture capital firms, strategic investors and angel investors. Mr. Young also has significant experience representing investors in venture capital financings, and his clients have ranged from (i) Southern California-based funds such as Anthem Venture Partners, Crosscut Ventures, DFJ Frontier Fund, Global Eco Ventures, GRP Partners, Odyssey Venture Partners, Rustic Canyon Ventures, Prism Ventureworks, Shepherd Ventures, Shelter Capital, Shepherd Ventures, Smart Technology Ventures, Steamboat Ventures, Steelpoint Capital and Zone Ventures, (ii) funds based in Silicon Valley or elsewhere such as Draper Fisher Jurvetson, Hambro-Grantham, Kleiner Perkins Caufield & Byers, Nauta Capital, OVP Venture Partners and TA Associates, and (iii) strategic investors across various industry segments, including media (such as The Associated Press), entertainment (such as Steamboat Ventures/Disney), technology (such as QUALCOMM Incorporated) and life sciences (such as Corixa Corporation).
Mr. Young’s mergers and acquisitions experience includes the representation of numerous companies in sell-side transactions, constituting successful liquidity events for his clients. Mr. Young regularly represents QUALCOMM Incorporated (QCOM) in acquisition transactions and has also represented acquirors such as Accrue Software, Inc. (ACRU), Applied Wave Research, Inc., Corixa Corporation (CRXA), Deluxe Laboratories, Inc., eMotive Communications, Inc. Global Equity Capital, LLC, HearMe (HEAR), JDA Software Group, Inc. (JDAS), KOR Electronics, QAD Inc. (QAD), SmartReply, Inc. and Yahoo! Inc. (YHOO). Notable recent acquisition transactions include the representation of Casden Baseball LLC in connection with its bid to purchase Los Angeles Dodgers Baseball, Inc. and QUALCOMM Incorporated in its $805 million acquisition of Flarion Technologies, Inc.
Mr. Young also regularly represents companies owned or funded by private equity firms. Examples include Gospel Music Channel, LLC (InterMedia Partners), General Displays & Technologies LLC (joint venture between GE Equity and Tatung Corp.) and Concord Music Group (Tailwind Capital Partners).
Mr. Young has represented issuers and underwriters in numerous IPOs and other public offerings, including companies such as Aastrom Biosciences, Inc. (ASTM), Corixa Corporation (CRXA), GeoCities (acquired by YHOO), JDA Software Group, Inc. (JDAS), Nextel International, Inc., Nventa Biopharmaceuticals Corporation (NVN), Onvia.com, Inc. (ONVI) and Pericom Semiconductor Corporation (PSEM). Managing underwriters Mr. Young has represented in these offerings include Goldman, Sachs & Co. and Credit Suisse First Boston.
Mr. Young’s licensing and technology transactions experience includes the representation of companies in complex corporate partnering transactions and joint ventures, as well as license agreements with various universities, research organizations, pharmaceutical companies and other entities.
